La SEC vient de proposer un nouveau cadre global sur la manière dont les entreprises crypto lèvent des capitaux aux États-Unis, et un analyste juridique affirme que les petits caractères pourraient être plus importants pour Ripple et le XRP que ne le suggèrent les chiffres principaux.

Ce que la SEC a réellement proposé

La Securities and Exchange Commission a officiellement annoncé le règlement Regulation Crypto Assets le 18 août, le décrivant comme un régime d'offre de titres sur mesure pour certains contrats d'investissement impliquant des crypto-actifs. La proposition s'appuie sur l'interprétation de la Commission de mars 2026 clarifiant la manière dont les lois fédérales sur les valeurs mobilières s'appliquent aux transactions crypto.

Selon les informations d'Eleanor Terrett, les règles permettraient certaines offres de crypto sans enregistrement auprès de la SEC selon deux seuils, jusqu'à 5 millions de dollars sur quatre ans, ou jusqu'à 75 millions de dollars par an. La nouvelle proposition de la SEC permettrait des offres de crypto jusqu'à 75 millions de dollars chaque année, et la proposition crée également une zone de sécurité conditionnelle pour les crypto-actifs une fois que les efforts de gestion essentiels d'un émetteur ont pris fin, ainsi que l'exemption de certaines exigences d'enregistrement des titres au niveau des États.
