SEC Proposes First Major Transfer Agent Update Since 1970s

The U.S. Securities and Exchange Commission has proposed what is described as the first major update to transfer-agent rules since the 1970s. Transfer agents play an administrative role in securities markets, maintaining records of ownership, handling changes in ownership and supporting issuer communications with investors.

The proposal signals an effort to modernize a regulatory framework created before today’s largely electronic securities infrastructure. Transfer agents are used by public companies and other issuers to help track shareholders and process certain corporate actions, making their operations important to the accuracy of investor records and securities settlement processes.

The SEC’s move could be relevant across traditional finance and areas of Web3 that seek to operate within securities regulations. Digital-asset platforms, token issuers and service providers have increasingly faced questions over whether particular products or activities fall under U.S. securities laws, although the proposal itself is focused on transfer-agent regulation.
