Grayscale Investments has taken another step toward converting its Litecoin Trust into a spot exchange-traded fund. In an amendment filed with the U.S. Securities and Exchange Commission on September 11, the asset manager said it intends to rename the vehicle the Grayscale Litecoin Trust ETF and list its shares on NYSE Arca once the registration statement becomes effective. The move would give LTCN holders a regulated, exchange-listed wrapper for Litecoin exposure.
The S-3/A Filing
Amendment No. 1 to the Form S-3 registration statement (Registration No. 333-290130) updates the plan for the Grayscale Litecoin Trust (LTC), a Delaware statutory trust sponsored by Grayscale Investments Sponsors, LLC and based in Stamford, Connecticut. The shares currently trade over the counter on OTCQX under the ticker LTCN. The filing states that, in connection with the effectiveness of the registration statement and the listing of the shares on NYSE Arca, the sponsor intends to rename the trust the Grayscale Litecoin Trust ETF while keeping the LTCN ticker.
Path to an NYSE Arca Listing
The conversion is not yet complete and still hinges on regulatory approval. NYSE Arca filed its own application with the SEC under Rule 19b-4 on January 24, 2025, seeking permission to list and trade the shares, and the registration statement notes that the listing arrangement remains subject to SEC sign-off. Once effective, the shares are expected to be listed on NYSE Arca under the ticker LTCN and issued only in baskets of 10,000 shares, with each share representing a fractional undivided beneficial interest in the trust’s Litecoin holdings. Both an effective registration statement and a completed 19b-4 approval are required before trading can begin.
