Strategy's New 'USD Cash' Pool Marks a Shift From Its Bitcoin-First Playbook

Strategy sold $2 billion worth of MSTR shares last week and used none of the proceeds to buy Bitcoin, instead directing the money toward share buybacks and a newly created cash reserve, according to a Form 8-K the company filed with the SEC on August 24.

The company sold 18,261,118 shares of Class A common stock through its at-the-market offering program between August 17 and August 23, generating $2,006.5 million in net proceeds. Of that, $136.4 million funded repurchases of STRC, Strategy's variable-rate preferred stock, while $300.0 million went to top up its existing USD Reserve. The remainder was placed into USD Cash, a new liquidity pool Strategy established the same day as part of its Digital Credit Capital Framework. The filing describes USD Cash as a separately designated pool that management can deploy for bitcoin purchases, preferred dividend and interest payments, share buybacks, or debt repayment, giving the company more flexibility to respond to market swings than its existing USD Reserve, which remains earmarked specifically for dividend and interest obligations. As of August 23, the USD Reserve stood at $5.10 billion and USD Cash at $1.59 billion.

Strategy bought no bitcoin during the week, leaving its holdings unchanged at 840,447 BTC, acquired for an aggregate $63.36 billion at an average price of $75,385 per coin. That average cost sits below Bitcoin's current price of roughly $80,700, meaning the treasury remains modestly in the black after a rally that has pushed the asset up more than 25 percent over the past week. MSTR shares themselves have moved sharply as well, trading in the $119 to $128 range on August 24, up well off the 52-week low of $81.81 set in June but still far below the 52-week high of $365.21. The stock continues to trade at a discount to the value of its bitcoin holdings, with a market-to-net-asset-value ratio of roughly 0.78 times, according to CoinGecko's treasury tracker.

The pattern marks a departure from Strategy's original playbook, under which nearly every capital raise financed a bitcoin purchase. Selling equity at a discount to net asset value to build cash reserves rather than add to the treasury, as the company has now done for a second consecutive week, suggests management is prioritizing balance sheet flexibility and the ongoing STRC buyback program over accumulating more bitcoin at current prices.
