What's the deal? Alpha Modus Holdings has agreed to sell 51,621,560 shares of Class A common stock and an equal number of warrants for $225,070,000, paid entirely in bitcoin. The company announced the private placement on August 26, 2026, with 10 non-US investors contributing 3,170 bitcoin at a reference price of $71,000 each.

The terms: Shares and warrants were priced at $4.36 each, based on the average closing price over the three trading days before the agreement. Each investor contributed 317 bitcoin. The warrants are exercisable at $4.36 per share for two years from closing, expected within 12 business days of the agreement.

Why it matters: The deal more than tenfolds Alpha Modus's share count. The company had 4,986,264 Class A shares outstanding as of August 24, 2026; after issuance, it will have 56,607,824. That means substantial dilution for existing shareholders.

What could go wrong? The $4.36 price sits at a discount to market, which could pressure existing shares. Accepting bitcoin as payment also adds volatility risk to the balance sheet, since the value of the 3,170 bitcoin could swing sharply after closing.

What's next? Alpha Modus must file a registration statement with the Securities and Exchange Commission within 15 days of closing to cover resale of the shares and shares issuable on warrant exercise. Until the earlier of 30 days after that filing becomes effective or December 31, 2026, the company cannot issue further equity without the consent of a majority of investors, with limited exceptions.
